Landlord agreement
This is a working draft provided for transparency while we build, pending review by qualified legal counsel.
This Landlord Agreement ("Agreement") is between Habanto (the company operating habanto.com) and the landlord using Habanto to manage maintenance for one or more UAE rental units ("You" or "Landlord"). It applies in addition to Habanto’s Terms of Service and Privacy Policy. If there is a conflict between this Agreement and the Terms, this Agreement governs only in relation to your role as Landlord.
By accepting this Agreement at signup or at first unit added, you confirm you have read and understood it and have authority to bind any entity in whose name you operate.
1. Subscription
1.1 Plans and fees
You subscribe to Habanto on a per-unit basis, billed monthly in advance or annually in advance, at the rates as published in the applicable fee schedule. All prices are exclusive of VAT unless stated otherwise on the pricing page at the time of subscription.
1.2 Auto-renewal
Subscriptions renew automatically at the end of each billing period unless you cancel before renewal. You can switch between monthly and annual at the next renewal.
1.3 Adding and removing units
When you add a unit, you are charged a pro-rated subscription for that unit for the remainder of the current billing period. When you remove a unit, the subscription for that unit ends at the end of the current billing period; we do not refund partial months or partial years except where required by UAE law.
1.4 Inactive subscriptions
If a payment fails and is not cured within 14 days, Habanto may suspend access to portfolio features for the affected unit(s). Tenants linked to those units may still report issues during suspension; you will not see them until the subscription is brought current.
1.5 Price changes
We may change subscription prices by giving at least 30 days’ notice by email or in-app message. You can cancel before the new price takes effect.
2. Authority and ownership warranty
For every unit you add to Habanto, you warrant on adding and on each subsequent renewal that you: (a) are the registered owner of the unit with the Dubai Land Department (or the equivalent authority in another emirate), or (b) hold a written, lawful authorisation from the registered owner to manage the unit on the owner’s behalf for the purposes covered by this Agreement (including receiving maintenance requests, approving spend, and engaging contractors).
You will provide evidence of either (a) or (b) on Habanto’s reasonable request. Habanto does not independently verify ownership; we rely on your warranty.
You also warrant that you are entitled under the head lease, freehold, or owners-association rules of the relevant community to engage external contractors and to share the property data described in Section 8 with Habanto.
If your authority to manage a unit ends, you will remove the unit from Habanto within 7 days and notify the affected tenants.
3. Tenant invitations and lawful basis to share tenant data
When you invite a tenant to a unit, you give Habanto the tenant’s email and (optionally) phone number so Habanto can send the invitation.
You warrant that you have a lawful basis under the PDPL to share the tenant’s contact details with Habanto, typically because: (a) the tenant is your existing tenant under a tenancy contract with whom you have a contractual relationship, and (b) you have notified the tenant (for example, in the tenancy contract, addendum, or a clear email) that you may share their contact details with a maintenance-coordination service like Habanto.
If a tenant declines the invite or asks you to remove their data, you will retract the invite from your Habanto portal and ask Habanto to delete any data already collected if applicable.
You will not invite anyone who is not your actual tenant. Inviting a person who is not your tenant for any purpose other than starting a genuine tenancy-maintenance relationship is a breach of this Agreement.
4. Commission and out-of-platform engagements
4.1 Commission on contractor work
Where a contractor performs work that flows through Habanto (the tenant or you pay for it via Habanto), Habanto deducts a commission from the contractor’s gross job value, at the rate as published in the applicable fee schedule, plus the applicable Stripe fee. The commission is a charge on the contractor; it is not added on top of the price you or the tenant pay.
4.2 No double commission
Habanto does not also charge you a fee on the work value. Your subscription (Section 1) is the only Habanto fee you pay directly as a landlord, until and unless you choose an AMC-style tier in future (Section 6).
4.3 Anti-circumvention
If a contractor first connected to you through Habanto performs further maintenance work on a Habanto-listed unit, that work should be processed through Habanto for 12 months after the initial Job. We rely on contractors to honour this; if you knowingly assist a contractor to bypass Habanto, you may lose access to that contractor on the platform.
5. Decision-making authority
You authorise Habanto to coordinate maintenance work on your behalf within the following limits: (a) for requests you have explicitly approved in the portal, up to the amount you approved; (b) for emergency requests affecting life, safety, or imminent serious damage (for example, a major leak flooding the unit, a gas smell, or total power failure in extreme weather), Habanto may, in its reasonable judgment, dispatch a verified contractor to take immediate stabilising action up to a per-incident cap of AED 1,500 without prior approval, and seek your post-incident approval for further work, and you can opt out of this emergency authority in your portfolio settings; (c) for routine requests below an auto-approve threshold you set (default off; you can set per-unit auto-approve up to a chosen ceiling), Habanto may dispatch without further approval.
Outside these authorities, Habanto will not commit you to spend. You are not obliged to approve any specific request and may decline subject to your obligations under UAE tenancy law (Federal Law No. 26 of 2007 as amended).
6. AMC tier (optional)
If Habanto launches an Annual Maintenance Contract ("AMC") tier and you opt in: (a) Habanto will be authorised to coordinate maintenance up to a contracted budget envelope per unit per year; (b) you will pay the AMC fee on a separate schedule from the per-unit subscription; and (c) specific AMC terms (scope of cover, exclusions, response SLAs) will be set out in a separate AMC schedule you accept at opt-in.
This Section 6 has no effect unless you separately opt in to AMC; the AMC tier is out of scope at launch.
7. Cancellation, refunds, and suspension
7.1 You cancel
You can cancel any time from your account dashboard. Cancellation takes effect at the end of the current billing period for the affected unit(s). On effective date, the unit is unlisted from Habanto; existing tenants linked to the unit will be informed.
7.2 We suspend or close
We may suspend or close your account or one or more units if: subscription payment fails and is not cured within 14 days; you breach this Agreement or the Terms; we have credible evidence that your authority over a unit has lapsed; or we are required to by law.
7.3 Effect on open requests at cancellation or closure
Open requests in flight at the time of cancellation will be paused. Tenants in affected units will be notified and given Habanto support contact for any urgent issue. Completed Jobs that have already been paid out are not reversed.
8. Data you share with Habanto; data we share back
8.1 What you provide
By adding a unit, you may provide: building name and community; unit number, type, floor, size; Ejari number; Makani code; DEWA premise number; DLD property number; rent amount, lease start, lease end (optional but helpful); and tenant contact details when inviting (Section 3).
8.2 What Habanto displays back to you
In your portfolio you can see, for each unit: your tenant’s name, email, phone (where shared); open and historical maintenance requests, including descriptions and photos uploaded by your tenant; the assigned contractor’s business name and primary trade; and approvals, declines, and payments.
8.3 Confidentiality
You will treat tenant and contractor data you see in Habanto as confidential and use it only for the purposes of managing your unit through Habanto. Specifically: (a) you will not use tenant contact details for marketing, off-platform solicitation, or any purpose unrelated to managing the tenancy; (b) you will not share contractor contact details for off-platform engagement in breach of Section 4.3; and (c) you will not download, scrape, or bulk-export Habanto data other than via the export feature, which is for your own records.
Breach of this Section 8 may give Habanto the right to suspend or terminate your account and to seek damages, in addition to any independent remedies under UAE law.
9. Termination and data export
9.1 Termination
Either party may terminate this Agreement on 30 days’ notice in writing. We may terminate immediately for material breach.
9.2 Data export on termination
For 90 days after termination, you may download: a CSV of your units and their key details; a CSV of all requests and their status; a CSV of all payments associated with your units; and copies of photos and documents you uploaded.
After 90 days, your access ends and Habanto’s retention policy under the Privacy Policy applies.
9.3 Survival
Sections 2 (authority warranty, to the extent of past acts), 4.3 (anti-circumvention), 7.3 (open requests), 8 (confidentiality), 10 (dispute resolution), and 11 (governing law) survive termination.
10. Dispute resolution
If a dispute arises between you and Habanto: first, talk to us, email info@habanto.com, and we try to resolve within 10 business days; if unresolved, the dispute will be heard by the competent courts of Dubai, applying UAE federal law and the law of the Emirate of Dubai.
Disputes between you and your tenant about the tenancy itself (rent, deposit, eviction, lease renewal) are not within Habanto’s remit. You and the tenant should approach the Dubai Rental Dispute Centre at the Dubai Land Department, or the equivalent body in the relevant emirate.
11. Governing law
This Agreement is governed by the federal law of the United Arab Emirates and, where not inconsistent, the law of the Emirate of Dubai.
12. Miscellaneous
Entire agreement with the Terms and Privacy Policy. No waiver by Habanto’s inaction. Severability. Assignment: you cannot assign your rights without our written consent; we can assign to a successor in the business. Notices: to your registered email; to info@habanto.com for Habanto. Language: English.
Acceptance evidence
By clicking "I agree" at signup or at first unit added, you confirm: you have read and agreed to this Agreement, the Terms of Service, and the Privacy Policy; you have the authority to bind any entity in whose name you operate; and you consent to electronic execution under Federal Decree-Law No. 46 of 2021 on Electronic Transactions and Trust Services.
Habanto stores the date, time, IP address, and a content-hash of the version of this Agreement you accepted as evidence of execution.
